CONTRACT FOR SERVICE

(INDEPENDENT CONTRACTOR AGREEMENT)

Dated the                         DAY of                      2007

                                   (The Principal) desires to obtain professional services; and I                                           (Independent Contractor) agree to provide such professional services.

In consideration of compensation to be paid to the Independent Contractor by the Principal,the Independent Contractor agrees to all of the following provisions:

    1.CONTRACT LENGTH:
      This agreement shall be effective as noted below,and shall continue in effect until terminated by
      either party's giving a 14 days written notice to the other party.Require for long term
      relationships ,not in short term after contractors decide to work,Minimum 6 months.
   
    2.CONTRACTOR STATUS:
      I warrant that I am an independent contractor for the performance of services under this  agreement,and that for accomplishment of the methods and means of accomplishment thereof,except as is otherwise specifically set forth in this Agreement. I am the sole employer and principal of any and all persons providing services under this Agreement, and shall be obligated to perform all requirements of an employer under federal,state and local laws.Under no circumstances shall I be construed to be an employee of the Principal.
      The Principal shall not be responsible for withholding taxes with respect to the Independent Contractor's compensation hereunder. The Idependent Contractor shall have no claim against the Principal hereunder of otherwise for vacation pay,sick leave,superannuation benefits,worker's compensation,health or disability benefits,unemployment insurance benefits,or employee benefits of and kind.

     3.TAXATION RESPONSIBILITIES:
       I agree to pay and to be solely responsible for income taxes,and any other employment-related taxes incurred as a result of the performance of services and to be responsible for all obligations,reports and timely notifications to such matters. I have a current ABN and am aware of my GST responsibilities.

4.PROVISION OF SUPPLIES:
  The Idependent Contractor shall provide at his/her own cost all facilities and equipment necessary for his/her performance of services,including without limitation:supplies,equipment,telephone and transportation.

5.CLIENT NAME CONFIDENTIALITY:
  The Idependent Contractor shall not discuss with anyone,outside of the Principal,client names without prior written approval.
  ALSO CLIENTS ARE DEAL WITH THE COMPANY ONLY,SUBCONTRACTORS MUST NOT DEAL WITH CLIENTS PERSONALLY,IF CLIENTS TAKE CLIENTS AWAY WITH THEM PERSONALLY,IT BREAKS THE CONTRACT,AS WELL AS THE LAW.

.INDEMNITY:
The Idependent Contractor will indemnify the Principal against all loss,damages,costs and expenses directly caused or directly contributed to by the Idependent Contractor and its officers,employees,contractors,subcontractors and authorized agents. The Idependent Contractor's liability to indemnify the Principal shall be reduced proportionately to the extent taht the act of omission of the Principal,the Superintendent of the employees of agents of the Principal contributed to the loss,damage,death or injury.

6.INSURANCE
  The Idependent Contractor must take out and maintain until the termination of discharge of this contract and otherwise as required by any relevat statute,insurance policies in respect of any one claim as follows:

All insurance policies which are:

.taken out by the Idependent Contractor;or
.held or taken out by the Principal;
.$250 is the liner of insurance,penalty more than $250,contractor pay $250,the rest belongs to the principal.

Which apply to an event which could give rise to a claim by the Principal under the indemnity granted by the Idependent Contractor,MUST BE DISCLOSED BY production of a copy of the relevant certificat of currency of receipt for premiums and a copy of the insurace policy within 7 days of written request being made.

The Idependent Contractor acknowledges full responsibility for providing itsfelf,and any employees,workers compenstaion insurance and does not hold the principal responsible for amy claims made under such insurance.

If the uses a motor vehicle in the performance of his/her service hereunder,the Idependent Contractor agrees to carry motor vehicle liability insurance, The Idependent Contractor agrees to indemnify, save harmless and defeng the Principal from any vehicle by the Idependent Contractor or the Idependent Contractor's agents of representatives.

7.NON ASSIGNMENT
   This agreement may not be transferred of assigned by the Idependent Contractor without written consent of the Principal.


  COMPLETION OF THIS AGREEMENT BYE REOSPECTIVE INDEPENDENT CONTRACTORS DOES NO GUARANTEE THE WORK WILL BE AVAILABLE.
