标题: 关于请会计师评估20万生意 & 是否要成立公司的 Issue [打印本页]

标题: 关于请会计师评估20万生意 & 是否要成立公司的 Issue
最近看了一个20万左右的生意，听说在请律师之前要请个会计师对这个生意和自身的财产做一个评估，所以请教了一位会计师。
他说一般都要找会计师评估这个Business Profile看业主是否缴税合理和收入合理，然后帮我做一个资产评估看我是否适合投资这个生意。
但他如果得出结论这个Business我可以买，以后若是亏了他不负责；如果建议我不买，我还是买了他也不管。这个我都理解，但是要价很高，
看一个case要价$1,000-$2,000；如果结论出来后我决定不买他也一样要收费的。所以我想请有经验的人看看：

（1） 20万的生意要请会计师评估吗？
（2）这是不是普通会计师的要价，还是过于高的要价；
（3）这个会计师说最好成立一个公司来买Vender的生意，以后如果有人要告这个生意，就可以直接把公司关闭他就告不成了；
如果是Partnership的话有人就可以直接告我。20万的生意要用公司来买吗？我个人认为老实做生意没有人会告的吧？
成立公司要将近$1,000 extra 不是心疼钱，如果有必要还是要先建立公司的。

其他不懂，只知道公司是有限责任的，partnership和sole trader是无限责任的。。。

如果你成立公司,问题是Landlord会不会愿意和你的公司签租约,或者人家只愿意和你个人签租约

个人认为20万的生意,请会计意义不是很大,一般20万的生意,每周turnover不会很大,你从工资材料等方面,大约可以看出个大概,当然也要看什么样的生意

1) Generally there is no need to hire an accountant with this sort of turnover, unless you have serious doubts about the business
2) The fee is standard for a medium size accounting business. its certainly not over the top. but once again, for the turnover that's involved, it may not be necessary
3) Depending on the nature of business, you may want to set up a Company for asset protection business. I really need to know what type of business it is before advising you further. but setting up a Company does not cost $1000. e.g. I generally charge $650 for company set up and its done within 24 hrs.

20W appears to be quite low for a Newagency, unless it is a very small scale one.

Newsagency is a tough business, its profitability is no where near what it is used to be. Have the business reviewed by professional would be a good idea.

as to your accountant's recommendation of setting up a Company to run the Newsagency, i have a different view on this matter. If you want to go down the path of setting up an enity to run the business, i would choose a unit trust to run the newsagency rather than a Company, simply because when you sale the business for a profit in the end, a unit trust will ultimately save you more money than Company.

在澳洲做生意跟国内最大的不同是，国内有什么麻烦、过失找熟人搞掂，最多使多点钱就能大事化小事，小事化无事，所以国内最紧要是要有关系。在澳洲无处不讲法律，你不懂又不请教律师、会计师就随时因为无知而被人告到破产都不知道自己错在何方。

所以，在中国做生意不要舍不得公关费，而在澳洲做生意不要吝啬律师和会计师的咨询费。

在澳洲，钱可以赚少点，官司绝对不要给碰上，否则金钱损失事小，分分钟烦你几年都打不完官司。对于我来讲，不要说是签合约买生意，就算是签任何小小的合约我都会先征求律师和会计师的意见。

找一个固定的资深好律师和一个资深好会计师绝对能助你一臂之力。
